Company Formation – A Step-by-Step Guide

Step 1: Determine Business Structure & Name

  1. Choose a Company Name
    • The name must be unique and not similar to existing registered businesses.
    • Provide 3 names of your choice
  2. Reserve the Company Name approval
    • Submit a name reservation request
    • Approval takes 1-3 working days.

Step 2: Prepare Incorporation Documents

Once the name is approved, prepare the following:

  1. Company Constitution (optional) – If not provided, the company follows the Companies Act 2016 regulations.
  2. Directors & Shareholders Details (at least one director and one shareholder, who can be the same person).
  3. Registered Office Address
  4. Declaration by Director
  5. Statement of Compliance

Step 3: Submit Incorporation Application.

Step 4: Receive Certificate of Incorporation

  • Approved, Certificate of Incorporation will be issued.
  • Certificate of Incorporation (Section 17).
  • This certificate is proof that your Sdn. Bhd. is legally registered.

Step 5: Open a Corporate Bank Account

  1. Prepare necessary documents:
    • Certificate of Incorporation (Section 17)
    • Company profile
    • Board Resolution for bank account opening
    • Identity documents of directors
  2. Choose a bank and complete the application.
